Section A. Combined Onboarding Incentive £100 — Terms and Conditions

Participation in this Amazon Flex Promotion (the "Promotion") is subject to these terms and conditions (these "Promotion Terms") and the terms and conditions in your Amazon Flex Independent Contractor Terms of Service (the "Amazon Flex Terms"), which are incorporated herein (collectively, the "Promotion Terms"). Please read these Promotion Terms carefully. By accessing or participating in the Promotion, you agree to be bound by the terms of the Promotion and all terms incorporated herein by reference. If you do not agree to the Promotion Terms, do not access or participate in the Promotion.

Promoter

Amazon UK Services Limited (with registered address 1 Principal Place, Worship Street, London, EC2A 2FA) is the Promoter and Provider of the Promotion ("Promoter").

Promotion Period

The Promotion Period begins and ends at the local times specified in the communication (email, SMS, or in-app notification) inviting you to participate in the Promotion.

Promotion Location

This Promotion is limited to Amazon Flex delivery partners in the United Kingdom, in select subpools as determined by Amazon.

Eligibility

To participate in the Promotion, you must (1) meet all eligibility requirements to be a delivery partner under the Amazon Flex Terms; (2) have an Amazon Flex account; (3) be using the latest version of the Amazon Flex app; and (4) be in an eligible subpool as determined by Amazon. The Promotion may only be available to some delivery partners. Amazon reserves the sole discretion to select specific delivery partners for this Promotion.

Participation Limit

This Promotion is limited to the first 2,000 delivery partners who complete both milestones described below. Once the limit has been reached, no further delivery partners will be eligible for the Promotion Payout.

Promotion Milestones and Payout

Delivery partners who complete both of the following actions will receive a Promotion Payout of £100:

● Action 1: Complete all Amazon Flex onboarding steps by the onboarding deadline specified in the Promotion invitation.

● Action 2: Complete 2 delivery blocks by the block completion deadline specified in the Promotion invitation.

"Delivery block" means each specified offer to provide delivery services through the Amazon Flex app (e.g., reserved offer, instant offer, etc.) for which you accept and make deliveries as a delivery partner.

The Promotion Payout of £100 will be issued directly to your registered bank account within two weeks of completing both milestones. Both milestones must be completed to receive the Promotion Payout.

Promotion Payout may only be paid once per delivery partner. The Promotion Payout may not be transferred or resold. The Promotion Payout may not be combined with the Refer-a-Friend Programme Payout described in Section B of these terms.

Amazon reserves the sole discretion to determine the amount of any Promotion Payout that each delivery partner may receive for completing the Promotion. Amazon reserves the right to revoke the Promotion Payout if Amazon believes, in its sole discretion, that the Promotion was earned through or in connection with any fraud, abuse of the Amazon Flex app, or in violation of the Promotion Terms.

How to View Your Promotion Progress

You can view your current Promotion progress by visiting the Activity Hub of the Amazon Flex app. Any errors or omissions related to delivery activity or Promotions completed posted to your Activity Hub must be reported immediately by contacting Amazon, as noted in the "Contact Us" section below. It may take approximately 72 hours after completing a delivery block for your Promotion progress to update. In the event of an outage of Amazon's systems, your Promotion progress update and Promotion Payout may be delayed.

Assignment of Rights

Amazon's rights and obligations under the Promotion may be assigned or transferred by Amazon to any affiliate of Amazon or third party at any time, and if such transfer takes place, then performance shall be the responsibility of that entity.

Promotion Changes, Termination, and Interpretation

Amazon reserves the right to modify, suspend, or discontinue the Promotion at any time, without notice and without future obligations to you or any other delivery partners. Any and all changes and/or amendments to the Promotion Terms will become binding upon all delivery partners immediately. All interpretations of these Promotion Terms will be in Amazon's sole discretion, and Amazon's decisions will be final.

Disclaimer

The Promotion and/or any of its features, including the Promotion Payout, may be unavailable, inaccurate, or interrupted from time to time for a variety of reasons outside of our control. We are not responsible for any unavailability, interruptions, or errors of the Promotion, its features, or any Promotion Payouts. The Promotion and all the information accessible through it are provided for informational purposes only on an "as is" and "as available" basis. Amazon and its affiliated entities and their agents make no warranties, representations, or guarantees of any kind, express or implied, including but not limited to, accuracy, currency, or completeness, the operation of the Promotion, the information, materials, content, availability, and products. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to, implied warranties of merchantability and fitness for a particular purpose.

Waiver of Liability

Neither Amazon nor any third-party service providers will be responsible or liable for: (i) any failure to receive entries due to transmission failures or other conditions beyond their reasonable control; (ii) any late, lost, misrouted, distorted, or damaged transmissions or entries; (iii) any disruptions, injuries, losses, or damages caused by events beyond their reasonable control; or (iv) any typographical errors in any materials associated with the Promotion.

Limitation of Liability

Except as set forth herein, all disputes arising out of or relating to these Promotion Terms will be governed in accordance with the Amazon Flex Terms. By participating in the Promotion or receiving any Promotion Payout, you agree that Amazon, its affiliates and subsidiaries, and its officers, directors, employees, representatives, and agents, including any third party (collectively, the "Released Parties") will have no liability or responsibility whatsoever for, and shall be held harmless by you for, any liability for any injuries, losses, or damages of any kind (including, without limitation, direct, indirect, incidental, special, consequential, or punitive or exemplary damages) to persons, including personal injury or death, or property arising in whole or in part, directly or indirectly, from any action taken or neglected to be taken with regard to the Promotion.

The Released Parties are not responsible for (a) loss or misdirection of, or delay in receiving, any Promotion Payout; (b) theft or unauthorised use of a Promotion Payout caused by circumstances beyond the reasonable control of Amazon or its representatives or agents; (c) any acts or omissions of third parties; or (d) any errors published in relation to the Promotion, including, without limitation, any typographical errors, errors of description, and errors in the calculation of completed milestones. Amazon reserves the right to correct, without notice, any errors.

In no event shall the Released Parties be liable to you for any delay in or failure to perform due to causes beyond Amazon's control, including, without limitation, any act of god, act of war, natural disaster, terrorism, or any act or omission of a third party.

Some jurisdictions may not allow the limitation or exclusion of liability for incidental or consequential damages or exclusion of implied warranties, so some of the above limitations or exclusions may not apply. Check local laws for any restrictions or limitations regarding these limitations or exclusions. This section will survive termination of delivery partner's participation in the Promotion.

General Release

By participating in this Promotion you release Amazon and each of its respective affiliated companies, directors, officers, employees, representatives, and agencies, from any liability whatsoever for any claims, costs, injuries, losses, or damages of any kind arising out of or in connection with the Promotion or with the acceptance, possession, or use of any Promotion Payout, except as prohibited by law.

Privacy Notice

All information submitted in connection with this Promotion will be treated in accordance with these Promotion Terms and Amazon's Privacy Notice.

Tax

Your participation in the Promotion may result in tax obligations. You are solely responsible for any tax liability, including disclosure requirements, related to participating in the Promotion and on the Promotion Payout that you receive. Please consult your tax adviser if you have any questions about your personal tax situation.

Copyright

Governing Law

This Promotion will be interpreted, construed, and enforced in accordance with the laws of England and Wales. Each party hereby irrevocably submits to the exclusive jurisdiction of the courts of England and Wales with respect to any claim, action, or proceeding arising out of or in connection with this Promotion. This Promotion is void where prohibited by applicable law.

Amazon may enforce the terms of the Promotion at any time. Amazon may delay enforcement without losing its right to enforce any term of the Promotion at a later time. If any term of the Promotion is found to be unenforceable, Amazon may still enforce the other terms. This section will survive termination of your participation in the Promotion.

Section B. Refer-a-Friend Programme £50 Dual-Sided — Terms and Conditions

Participation in this Amazon Flex delivery partner Referral Programme (the "Programme") is subject to these Terms and Conditions (these "Programme Terms") and the terms and conditions in your Amazon Flex Independent Contractor Terms of Service (the "Amazon Flex Terms"), which are incorporated herein (collectively, the "Programme Terms"). Please read these Programme Terms carefully. By accessing or participating in the Programme, you agree to be bound by the Programme Terms and all terms incorporated herein by reference. If you do not agree to the Programme Terms, do not access or participate in the Programme.

Promoter

Amazon UK Services Limited (with registered address 1 Principal Place, Worship Street, London, EC2A 2FA) is the Promoter and Provider of the Programme ("Promoter").

Referrer Eligibility

An eligible "Referrer" is an Amazon Flex delivery partner who (1) has received an official Programme invitation email from Amazon Flex; (2) meets all eligibility requirements to be a delivery partner in the United Kingdom under the Amazon Flex Terms of Service; (3) has an Amazon Flex account in the United Kingdom in active standing; (4) is using the latest version of the Amazon Flex app; and (5) is in an eligible subpool as determined by Amazon.

Eligible Referrers may participate in the Programme by referring one or more new individuals to Amazon Flex. When you refer the Referee, you represent and warrant to us that you have obtained their prior consent to transmit electronic communication(s) containing the referral link to those individuals.

The Programme may only be available to some delivery partners. Amazon reserves the sole discretion to select specific delivery partners for this Programme.

Participation Limit

Each delivery partner may make a maximum of 5 referrals during the Programme period. Once the limit has been reached, no further Referral Payouts will be given for subsequent referrals.

Referral Period

The referral window will be open for eligible Amazon Flex delivery partners for a limited time period (the "Referral Period") and will be specified in the email inviting you to participate in the Programme. Eligible Amazon Flex delivery partners will not be able to refer after the Referral Period is closed.

● Referral Period as specified in the Programme invitation email.

The Programme is offered at Amazon's discretion. Amazon expressly reserves the right to modify, suspend, or terminate the Programme, in whole or in part, at any time without prior notice.

Programme Location

This Programme is limited to Amazon Flex delivery partners in the United Kingdom, in select subpools as determined by Amazon.

Referral Payout

Terms and Conditions (Referrer)

● This offer is available for a limited time only during the Referral Period specified in the email inviting you to participate in the Programme.

● This offer is only available to delivery partners who have successfully referred another partner (the "Referee") to Amazon Flex. The Referee must complete all necessary onboarding steps, including passing a background check.

● This offer is only valid for invited delivery partners who have received this offer directly from Amazon Flex through email or in-app notifications.

● Your £50 Referral Payout will appear in your Earnings page within 7 business days of your Referee completing all onboarding steps.

● Amazon reserves the right to modify or cancel the offer at any time.

● This offer is non-transferable.

● If you violate any of these terms, the offer will be invalid.

● Amazon reserves the right to revoke the Referral Payout if Amazon believes, in its sole discretion, that the Programme participation was earned through or in connection with any fraud, abuse of the Amazon Flex app, or in violation of the Programme Terms.

● Eligibility for the Referral Payout is limited to the original Referrer who received the Programme invitation and their directly referred Referee, subject to meeting all applicable eligibility criteria. Redistribution of referral links by parties other than the original Referrer is prohibited, and no Referral Payouts shall be awarded for sign-ups resulting from such redistribution.

● The Referral Payout may not be combined with the Combined Onboarding Incentive (£100) described in Section A of these terms.

Terms and Conditions (Referee)

● This offer is available for a limited time only during the Referral Period specified by the Referrer or in the registration landing page.

● You cannot be a current active delivery partner, or a recent delivery partner who has not delivered with Amazon Flex in the last 90 days from the Programme start date.

● This offer is only valid for new delivery partners who were referred directly through this Programme using a valid referral link.

● Your £50 Referral Payout will appear in your Earnings page within 7 business days after the Promotion Period ends.

● Amazon reserves the right to modify or cancel the offer at any time.

● This offer is non-transferable.

● If you violate any of these terms, the offer will be invalid.

● The Referral Payout may not be combined with the Combined Onboarding Incentive (£100) described in Section A of these terms.

By participating in this Programme you release Amazon and each of its respective affiliated companies, directors, officers, employees, representatives, and agencies, from any liability whatsoever for any claims, costs, injuries, losses, or damages of any kind arising out of or in connection with the Programme or with the acceptance, possession, or use of any Referral Payout, except as prohibited by law.

Indemnification

You agree to indemnify and hold harmless the Released Parties from and against any loss, damage, liability, cost, or expense of any kind (including legal fees) arising from your or an authorised user's: use of the Programme, any fraud or misuse of the Programme, or violation of any applicable law or the rights of any third party. This indemnity is in addition to, and not in lieu of, any other indemnities set forth in a written agreement between you and Amazon.

Privacy Notice
